The headline overstates the cash cost

Cash consideration
Up to ₹135 croreThe payment is capped at ₹135 crore.
Bank guarantee
₹200 croreThe guarantee is part of the disclosed aggregate consideration but is not necessarily an immediate cash outflow.
Economic interest
100%Marathon’s economic interest will rise from 40% after completion.

Marathon Nextgen Realty’s board on Saturday approved the purchase of the Adani Group’s 60% interest in Swayam Realtors and Traders LLP, the developer of the Monte South project in Mumbai’s Byculla district. Marathon already has a 40% interest, so completing the deal would give it full economic ownership and control of the project.

The consideration consists of up to ₹135 crore in cash and a ₹200 crore bank guarantee, according to the company’s regulatory disclosure reported by ET Realty. The ₹335 crore headline is not the same as a ₹335 crore cheque. A bank guarantee is a contingent commitment: cash leaves Marathon only if the guarantee is invoked, although the bank may require security, a margin deposit or borrowing capacity. The filing does not disclose those terms. That omission matters more than the acquisition announcement suggests. Marathon’s shares last traded at ₹369.95 on Friday, valuing the company at ₹2,517.37 crore before investors could react to the weekend decision.

The transaction gives Marathon full control, but the disclosed consideration combines an immediate payment with a contingent commitment.

The ₹335 crore headline is not the same as a ₹335 crore cheque.

Control increases both returns and concentration

SRTL FY26 turnover
₹374.46 croreTurnover has declined for two consecutive years.
SRTL FY24 turnover
₹680.07 croreThis is the earliest of the three years disclosed with the transaction.
Project size
About 25 lakh sq ftMonte South includes residential and commercial towers in Byculla.

The financial mechanism is straightforward. Marathon currently receives the economics of a 40% interest in Monte South. Buying the remaining 60% would give it the project’s full future cash flows, while also making Marathon responsible for funding decisions, construction risk and unsold inventory. It would no longer have a partner with whom to share overruns or delays.

SRTL reported turnover of ₹374.46 crore in 2025-26, down from ₹433.08 crore in 2024-25 and ₹680.07 crore in 2023-24, according to the acquisition disclosure summarised by ScanX. The decline does not by itself show deteriorating demand because property revenue changes with construction and handover schedules. Nor does turnover provide a usable valuation. The disclosure does not give SRTL’s profit, operating cash flow, net assets, debt or remaining development cost. Investors therefore cannot compare the consideration with the earnings or cash that Marathon is buying. Full control may be valuable, but the published numbers do not yet measure that value.

Full ownership increases Marathon’s claim on future sales, but SRTL’s turnover alone cannot establish whether the purchase price is attractive.

Liquidity covers the cheque, not every obligation

Cash and short-term investments
₹298.37 croreThis was Marathon’s consolidated position at 30 September 2026.
Total debt
₹136.42 croreThis was the consolidated balance at 30 September 2026.
Q2 collections
₹127 croreThe company reported this for its existing portfolio.

Marathon reported consolidated cash and cash equivalents of ₹74.66 crore and short-term investments of ₹223.71 crore at 30 September. The combined ₹298.37 crore provides visible coverage for the maximum ₹135 crore cash payment. The company also described itself as net debt-free because its liquid investments exceeded borrowings, while standardised accounts show total debt of ₹136.42 crore.

The balance-sheet question is the ₹200 crore guarantee. It exceeds the cash payment and could restrict Marathon’s ability to finance other developments even if it is never called. The company has not disclosed whether the guarantee backs existing SRTL debt, future construction finance or another obligation. It has also not stated what security a bank would receive. Marathon generated Q2 collections of ₹127 crore and reported profit after tax of ₹45 crore, but property collections must also finance construction and working capital. On these figures, the acquisition is affordable at closing. Its longer-term cost depends on what the guarantee covers and how much capital Monte South still needs.

Marathon has enough reported liquidity for the cash portion, while the guarantee could reduce room for other projects.

The case for the deal is credible

Monte South FY26 pre-sales
₹391 croreManagement disclosed this figure in its filed earnings-call transcript.
Q1 FY27 Monte South bookings
₹125 croreThe figure was reported on a 100% project basis.
Q1 FY27 Monte South collections
₹140 croreThe figure was reported on a 100% project basis.

The best argument against caution is that the cash price may be modest for control of a large Mumbai development. Monte South covers about 25 lakh sq ft and comprises four residential towers and a commercial tower. Marathon said the project recorded ₹391 crore of pre-sales in 2025-26. In the June 2026 quarter it reported ₹125 crore of Monte South bookings and ₹140 crore of collections on a 100% project basis.

The project is also beyond the riskiest land-acquisition stage. Management said Tower A had been delivered, Tower B had received an occupation certificate for part of the building and construction was progressing at Tower C. Full ownership could simplify decisions over pricing, launches, financing and completion. The ₹200 crore guarantee may support project borrowing rather than become a loss, while the direct cash payment is less than half Marathon’s reported cash and short-term investments. That case makes the transaction strategically plausible. It changes the conclusion from a plainly aggressive acquisition to a potentially valuable one whose economics remain insufficiently disclosed.

The strongest positive case is that ₹135 crore secures control of a large, partly completed project with demonstrated buyer demand.

The missing terms will decide the outcome

Marathon Q2 total income
₹145 croreThe company reported this for the quarter ended 30 September 2026.
Marathon Q2 profit after tax
₹45 croreThe company reported this for the quarter ended 30 September 2026.

The acquisition disclosure leaves out the figures needed to test the valuation. It does not state SRTL’s profit, cash balance, debt, project inventory, receivables or cost to complete Monte South. It also does not explain how the parties arrived at the ₹135 crore cash price, when the money is payable or the circumstances in which the ₹200 crore guarantee can be invoked.

Those gaps are material because Marathon itself reported only ₹145 crore of total income and ₹45 crore of profit after tax in the September quarter. The transaction would also convert a joint-venture interest into full control, potentially changing how SRTL’s assets, liabilities and revenue appear in Marathon’s consolidated accounts. The company expects completion within two months of the requisite approvals, although it said no governmental or regulatory approval was required for the stake purchase. The decisive evidence will be the closing disclosure and the first post-acquisition accounts: they should show the consideration paid, SRTL’s debt brought onto the balance sheet and the exact obligation secured by the ₹200 crore guarantee.

The closing terms and subsequent accounts will determine whether Marathon bought additional cash flow or assumed an underpriced funding obligation.
