The profit fall is not the main weakness

Quarterly sales
₹16,100 croreSales increased 11.8% from a year earlier.
Reported net profit
₹1,988.5 croreProfit fell from ₹3,118 crore a year earlier.
Exceptional charges
₹1,268.83 croreThe charges comprised a US litigation settlement and Organon transaction costs.

Sun Pharma reported on Friday that second-quarter net profit fell 36% to ₹1,988.5 crore from ₹3,118 crore a year earlier, although sales rose 11.8% to ₹16,100 crore. The immediate explanation is ₹1,268.83 crore of exceptional charges, comprising ₹922.67 crore for settling US generic-drug pricing litigation and ₹346.16 crore of costs related to its proposed acquisition of Organon.

Removing those items produces a less alarming but still subdued result. Adjusted net profit increased just 1.4% to ₹3,162 crore, while earnings before interest, tax, depreciation and amortisation rose 4.8% to ₹4,743.9 crore. The quarter’s profit fall is temporary, but the balance-sheet change will not be. Sun Pharma is preparing to exchange its net-cash position for substantial acquisition debt, just as its existing operation is converting double-digit sales growth into much slower profit growth. That is the more useful reading for shareholders.

The exceptional charges obscure a profitable operation whose earnings are growing much more slowly than sales.

India growth hid weaker conversion

India formulations sales
₹5,552.3 croreDomestic sales rose 17.3% year on year.
US formulations sales
$455 millionUS sales declined 8.2% year on year.
EBITDA margin
29.3%The margin was 31.3% in the comparable quarter.

India formulations sales increased 17.3% to ₹5,552.3 crore and represented 34.5% of consolidated sales. Sun Pharma said its domestic market share rose to 8.6% from 8.3%. Emerging-market formulations grew 7.6% to $350 million. Those businesses supplied the volume and revenue growth that the US operation did not.

US formulations sales fell 8.2% to $455 million, mainly because sales of lenalidomide, a cancer treatment, continued to erode. Global innovative-medicine sales grew 6.9% to $356 million, but management said a slowdown in the US Ilumya business restrained growth. The EBITDA margin consequently narrowed by 200 basis points to 29.3%, despite the gross margin rising to 80.8% from 79.3%. Management argued that the comparable quarter benefited from lenalidomide and that EBITDA growth excluding the drug exceeded sales growth. That defence is reasonable, but it also shows why the reported 11.8% sales increase overstates the improvement in recurring earnings.

India delivered the quarter’s strongest growth, while the US business and operating margin remained the weak points.

Organon resets the balance sheet

Organon enterprise value
$11.75 billionThe agreed all-cash acquisition remains subject to closing conditions.
Sun Pharma net cash
$3.3 billionThe position was reported with the September-quarter results.
Expected additional debt
$9.5 billion to $10 billionCRISIL includes the expected takeover of Organon’s existing debt.

Sun Pharma agreed in April to acquire Organon for $14 a share in cash, valuing the business at $11.75 billion including debt. Sun Pharma reported net cash of $3.3 billion at the end of the September quarter and allotted ₹7,816 crore of non-convertible debentures. Yet CRISIL expects it to use only $2 billion to $2.5 billion of cash and internal accruals, with $9.5 billion to $10 billion of additional debt, including Organon’s existing borrowings.

Debt changes the route from operating performance to shareholder returns. Interest and scheduled repayments will claim cash that Sun Pharma could otherwise use for research, licensing or further acquisitions. The company’s acquisition announcement put post-transaction net debt at 2.3 times EBITDA. CRISIL expects net debt to remain at 1.5 to two times EBITDA in the first full financial year after completion. Those levels are manageable for a profitable drugmaker, but they leave less room for an integration setback, a regulatory problem or a product disappointment.

Organon will almost double Sun Pharma’s scale, but it will also replace financial flexibility with a large and measurable debt burden.

The strongest case is scale and cash

Organon 2025 revenue
$6.2 billionThe figure was disclosed in Sun Pharma’s acquisition announcement.
Organon adjusted EBITDA
$1.9 billionThe figure covers calendar 2025.
Expected combined revenue
$12.4 billionSun Pharma presented the figure on a pro-forma basis.

The strongest case against a cautious reading is that Organon brings the cash flow needed to service the debt. It generated $6.2 billion of revenue and $1.9 billion of adjusted EBITDA in 2025. Sun Pharma expects the combined company to have $12.4 billion of revenue, with EBITDA and cash flow nearly doubling. Organon also adds more than 70 products across women’s health, established medicines and biosimilars, sold in 140 countries.

ICRA and CRISIL assigned stable AAA ratings to Sun Pharma’s proposed ₹15,000 crore debenture programme. ICRA expects net debt to operating profit before depreciation, interest and tax to fall to 1.5 times by the 2028 financial year and 0.5 times by 2030. Sun Pharma’s 17.3% domestic growth and 6.9% innovative-medicine growth also show that the buyer is not relying on Organon to repair a shrinking core business. This evidence weakens the case that the acquisition creates an immediate solvency problem. It does not remove the execution risk attached to a business of comparable scale.

Organon’s cash generation and strategic fit make rapid deleveraging credible, although not yet proven.

Closing starts the real test

Expected closing
Q4 FY27Sun Pharma said most regional approvals had been obtained, with a few still pending.
Acquisition costs in Q2
₹346.16 croreSun Pharma said more transaction costs are expected in later periods.

Sun Pharma said approvals had been obtained for most regulatory filings and continued to target completion in the fourth quarter of the 2027 financial year. The remaining jurisdictions, the final financing structure and any conditions imposed by competition authorities are not yet disclosed. Sun Pharma and Organon must continue operating independently until completion.

The company has also warned that further acquisition-related expenses will arise after the ₹346.16 crore booked this quarter. More important than those temporary costs will be Organon’s performance at closing, the interest rate on the acquisition debt and the amount of cash retained by Sun Pharma. A weaker Organon earnings base would raise leverage before integration begins, while stronger cash generation would support the rating agencies’ deleveraging forecasts. Investors therefore have two separate issues: a core Sun Pharma business with healthy sales but slower profit conversion, and an acquisition that will determine capital allocation for years. The decisive evidence will be the transaction closing and Sun Pharma’s first post-closing results.

Regulatory clearance, the final funding mix and the first post-acquisition cash-flow statement will determine whether the deal strengthens Sun Pharma.
