A fresh issue is not a Reliance payday

Proposed issueUp to 27 crore new sharesThe price will be determined through book-building.
Reliance ownership66.43%At 31 March 2026, before the proposed issue.

Jio Platforms plans to issue up to 27 crore new shares, according to Reliance Industries’ 19 June stock-exchange filing. The disclosed structure is a fresh issue, not a sale of Reliance’s existing holding. The proceeds would therefore enter Jio Platforms rather than Reliance. Reliance owned 66.43% of Jio at 31 March 2026, audited accounts show, alongside Meta’s Jaadhu Holdings and Google International among the large minority investors. Its percentage interest will be diluted if new shares are issued.

The structure weakens the simplest value-unlocking claim. A quoted price will make Jio easier to value, but Reliance already consolidates its earnings. The listing neither creates those earnings nor transfers the fresh capital to Reliance. It exchanges part of Reliance’s indirect ownership for cash inside Jio. That can create value if Jio invests the money above its cost of capital, or if a transparent market price reduces the discount applied to Reliance. Neither outcome follows automatically from an IPO.

The IPO can reveal Jio’s market value. It cannot, by itself, create that value for Reliance shareholders.

Scale supports the case, but cannot set the price

FY2025-26 profit after tax₹30,049 croreReported by Reliance for Jio Platforms.
June-quarter EBITDA₹20,865 croreUp 15.1% year on year.
Connectivity subscribers533 millionAt June 2026.

Jio enters the process with earnings rather than merely a technology narrative. Reliance reported FY2025-26 revenue from operations of ₹146,885 crore, EBITDA of ₹76,255 crore and profit after tax of ₹30,049 crore for Jio Platforms. For the quarter ended 30 June 2026, revenue was ₹45,961 crore and EBITDA reached ₹20,865 crore, an increase of 15.1% from a year earlier. Connectivity subscribers stood at 533 million, including 285 million 5G users. The results release, investor presentation and quarterly transcript report the same core figures.

These are strong operating results, but they do not settle the valuation. Connectivity still anchors the business, while higher finance costs following the capitalisation of 5G assets restrained profit growth in the June quarter. Investors should therefore separate platform optionality from demonstrated cash generation. A premium for artificial intelligence, cloud or enterprise services is an opinion about future economics, not a fact established by subscriber scale. The IPO price will determine how much optimism buyers are asked to fund.

The strongest case for genuine value creation

2020 benchmark₹4.91 lakh croreSeveral strategic investors subscribed around this stated equity valuation.
Capital raised in 2020₹152,056 croreAcross 13 investors, according to Reliance.

The contrary case begins with an external valuation benchmark. In 2020, investors including Silver Lake, Vista, KKR and Intel Capital subscribed at an equity valuation of about ₹4.91 lakh crore. Reliance said the wider fund-raising brought ₹152,056 crore from 13 investors. Since then, Jio has added subscribers, expanded 5G and home broadband, and lifted annual profit above ₹30,000 crore. A listed price would update that six-year-old benchmark continuously, replace private transaction marks with public price discovery and give Jio direct access to equity markets.

This is the strongest argument against scepticism. Public accounts, minority-shareholder scrutiny and a separately traded security can narrow the information gap around a complicated group. Fresh equity can also finance growth without increasing Reliance’s direct funding burden. Yet price discovery is not value creation. If investors already capitalise Jio’s earnings within Reliance, a high IPO valuation may simply make an existing assumption visible. The benefit depends on whether greater transparency and capital flexibility outweigh dilution and the additional claims of public minority shareholders.

Listing Jio does not dismantle the conglomerate

Meta-linked holding9.98%Jaadhu Holdings at 31 March 2026.
Google holding7.73%Google International at 31 March 2026.

Reliance will remain the controlling shareholder after the proposed flotation, subject to the final issue size and approvals. Jio’s audited accounts show that Jaadhu Holdings owned 9.98% and Google International held 7.73% at 31 March 2026. Public investors will join an ownership structure in which Reliance controls strategy, while transactions with other group businesses remain relevant. Reliance’s 2025 shareholder notice, for example, sought approval for continuing commercial arrangements between Jio Platforms and fellow subsidiary JioStar over five financial years.

The IPO may reduce uncertainty around one large component, but it also makes the ownership chain more visible. Reliance investors will hold Jio indirectly through a parent that allocates capital across unrelated businesses. Jio’s new investors will hold it directly. That distinction can preserve rather than eliminate a conglomerate discount, particularly if dividends from Jio remain modest or if capital is retained for expansion. Conversely, regular distributions and disciplined related-party arrangements could demonstrate that the quoted value is economically available to the parent. The valuation gap will reflect evidence, not corporate structure alone.

The proceeds, not the headline valuation, decide the outcome

Latest reported quarterQuarter ended 30 June 2026As available by 13 October 2026.

Reliance chairman Mukesh Ambani told shareholders that the IPO would unlock value. That is management’s stated expectation, not an established result. As of 13 October, the disclosed issue price remained to be determined through book-building, and Reliance’s latest published operating figures covered the June quarter. Until the price, final dilution and proposed use of proceeds are clear, claims about the size of the unlock remain unverified.

The decisive question is therefore narrower: will the capital raised inside Jio generate cash that reaches Reliance shareholders, or will the IPO chiefly attach a public valuation to assets they already owned?

The relevant comparison is not simply Jio’s IPO valuation against its 2020 private valuation. Investors must compare the value of Reliance’s diluted holding after the issue with the value implicitly attributed to Jio before it. They must then test whether Jio’s use of the new capital produces distributable returns. A spectacular headline valuation could still be a windfall mainly in presentation if Reliance receives no cash, Jio retains most earnings and the parent discount persists. A less aggressive price could create more durable value if it broadens ownership, improves disclosure and gives Jio capital that earns attractive returns.
